1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and NexGen Labs, operated by MXM Global Private Limited.

Project-specific deliverables, timelines, pricing, and responsibilities are defined within individual:

• Statement of Work (SOW)

• Service Agreements

• Project Contracts

3. © Intellectual Property

Unless otherwise agreed:

• All website content, branding, graphics, trademarks, frameworks, design systems, proprietary tools, and original source materials remain the intellectual property of NexGen Labs and MXM Global Private Limited.

Upon full payment of agreed project milestones:

• Ownership of custom-developed code and bespoke design assets created specifically for the client will be transferred according to the signed project agreement.

4. ✅ User Responsibilities

When using our website or services, you agree to:

• Provide accurate and truthful information

• Submit genuine project inquiries

• Keep account credentials confidential

• Respect applicable laws and regulations

You also agree not to:

• Attempt unauthorized access

• Reverse engineer our systems

• Scrape website data

• Inject malicious software or code

• Conduct unauthorized security testing

5. 💳 Payment Terms & Refund Policy

Payment Schedule

Services are billed according to:

• Milestone Payments

• Monthly Retainers

• Project Agreements

Invoices are payable within the due dates specified.

Scope Changes

Requests for additional features or work outside the approved project scope require:

• Written approval

• Updated timelines

• Additional project fees where applicable

Refund Policy

Due to the custom nature of software development:

• Retainer payments are non-refundable once work has commenced.

• Completed milestone payments are non-refundable.

• Projects cancelled before work begins may qualify for a partial refund after deducting planning, setup, administrative, and scoping costs.

6. ⚖️ Limitation of Liability

To the maximum extent permitted by law, NexGen Labs and MXM Global Private Limited shall not be liable for:

• Indirect damages

• Incidental damages

• Consequential damages

• Special damages

• Loss of profits

• Data loss

• Revenue loss

• Business interruption

NexGen Labs is not responsible for outages, policy changes, service interruptions, or failures originating from third-party providers.

These Terms are governed by the laws of:

Any disputes should first be resolved through good-faith negotiations.

If a resolution cannot be reached, disputes will be submitted to binding arbitration in Colombo, Sri Lanka.
