1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and NexGen Labs, operated by MXM Global Private Limited.

By accessing or using nexgenlab.global or engaging our services, you agree to these Terms and our Privacy Policy. They apply to our website, our project services and our online products, including the AI Visibility Report and the Full Visibility Audit.

2. 💼 Scope of Services

NexGen Labs provides professional services including:

• 🎨 UI/UX Design

• 🏷️ Branding & Identity Design

• ⚙️ Software Engineering

• 🤖 AI Integration & Automation

• 🌐 Digital Consulting

• 🔎 AI Visibility Report and Full Visibility Audit (fixed-price, one-time reports)

Project-specific deliverables, timelines, pricing, and responsibilities are defined within individual:

• Statement of Work (SOW)

• Service Agreements

• Project Contracts

The AI Visibility products are described on their page at nexgenlab.global/ai-visibility and in sections 5 and 6 below.

3. © Intellectual Property

Unless otherwise agreed:

• All website content, branding, graphics, trademarks, frameworks, design systems, proprietary tools, and original source materials remain the intellectual property of NexGen Labs and MXM Global Private Limited.

Upon full payment of agreed project milestones:

• Ownership of custom-developed code and bespoke design assets created specifically for the client will be transferred according to the signed project agreement.

AI Visibility reports: you may use your report and its supporting evidence for your own business. Our methods, question templates, tools and software remain ours. If you tick the optional research box on the order form, you allow us to use your results, with your business name removed, in published research.

4. ✅ User Responsibilities

When using our website or services, you agree to:

• Provide accurate and truthful information, including accurate order details such as your business, website and markets

• Submit genuine project inquiries

• Keep account credentials confidential

• Respect applicable laws and regulations

You also agree not to:

• Attempt unauthorized access

• Reverse engineer our systems

• Scrape website data

• Inject malicious software or code

• Conduct unauthorized security testing

5. 💳 Payment Terms & Refund Policy

Payment Schedule

Services are billed according to:

• Milestone Payments

• Monthly Retainers

• Project Agreements

Invoices are payable within the due dates specified.

Scope Changes

Requests for additional features or work outside the approved project scope require:

• Written approval

• Updated timelines

• Additional project fees where applicable

Refund Policy: custom projects

Due to the custom nature of software development:

• Retainer payments are non-refundable once work has commenced.

• Completed milestone payments are non-refundable.

• Projects cancelled before work begins may qualify for a partial refund after deducting planning, setup, administrative, and scoping costs.

Refunds for the AI Visibility Report and Full Visibility Audit are covered by our Refund Policy.

AI Visibility Report and Full Visibility Audit

• Price and currency: a one-time fixed fee, shown at checkout in US dollars or Sri Lankan rupees depending on where you are. There is no retainer and nothing renews.

• Payment: online by card through PayHere, in full, before we start. Your order is confirmed only when PayHere confirms the payment, and we then email you an invoice.

• Delivery: the Visibility Report is delivered within 7 working days and the Full Visibility Audit within 12 working days of your confirmed payment, as shown on the order page. The Full Visibility Audit includes a 45-minute call, scheduled in your time zone. If we need something from you before we can start, the time begins when we have it.

• What you get: what is listed for your package on the order page.

• For businesses: these products are sold to businesses, for business use.

• Refunds: see our Refund Policy.

6. 🔎 AI Visibility Reports: What They Are and Are Not

• A dated snapshot: AI systems can answer differently each time they are asked and change over time. A report shows what we found on the dates we tested.

• No guaranteed results: we measure where you stand and recommend what to fix. We do not promise rankings, mentions, recommendations or any business result from an AI system, and we do not control those systems.

• Third-party systems: ChatGPT, Gemini, Google AI Mode, AI Overviews, Perplexity, Claude, Copilot, Meta AI, Grok and similar services belong to their owners. Their names are used only to say which systems we test. We are not affiliated with or endorsed by them.

• Your website: some fixes may need your developer, or a rebuild. We will tell you which is which.

7. ⚖️ Limitation of Liability

To the maximum extent permitted by law, NexGen Labs and MXM Global Private Limited shall not be liable for:

• Indirect damages

• Incidental damages

• Consequential damages

• Special damages

• Loss of profits

• Data loss

• Revenue loss

• Business interruption

arising from the use of our website or services.

For an AI Visibility order, our total liability for any claim relating to that order is limited to the amount you paid for it.

8. 🔗 Third-Party Services

Our solutions may integrate with external platforms, including:

• Shopify

• Supabase

• Vercel

• Cloudinary

• Payment Gateways (including PayHere)

• Google services

• Third-party APIs

• Hosting Providers

NexGen Labs is not responsible for outages, policy changes, service interruptions, or failures originating from third-party providers.

9. 🔄 Changes to These Terms

We may update these Terms from time to time. The latest version is always on this page, with its revision date. An order is governed by the Terms that were published when you placed it.

10. ⚖️ Governing Law

These Terms are governed by the laws of:

• 🇱🇰 Sri Lanka

• 🇮🇳 India

Any disputes should first be resolved through good-faith negotiations.

If a resolution cannot be reached, disputes will be submitted to binding arbitration in Colombo, Sri Lanka.

Nothing in these Terms limits any right you have under law that cannot be excluded.
